The President or the Board of Directors by resolution adopted by a majority of the entire Board, may create such special committees as may be deemed desirable, the members of which shall be appointed by the President of the Board, which committees shall have only the lawful powers specifically delegated to them by the Board, except that no such committees shall have powers which are not authorized for any standing committees of this corporation
